By-Laws

ARTICLE I – NAME.

This association shall be called THE BLOOMFIELD SCIENTIFIC CLUB.

Article II – PURPOSE

Its purpose shall be the study and discussion of scientific or other subjects of
general interest.

Article III – MEMBERSHIP

The names of candidates for membership shall be presented to the Executive
Committee by any member. If favorably considered by such a committee the
Secretary shall add the candidate’s name to the roll as a regular member.

Article IV – MEETINGS

Section 1.
The club shall hold its regular meetings on the second Tuesday of each month
excepting the months of July, August, and September.
Section 2.
Notice of the time and place of each meeting shall be given by the Secretary.
Section 3.
The May meeting shall be Partner/Guest Night; Ladies night is no longer gender
specific. (Amended at April 11, 2023 BSC Meeting and approved by membership, “Ladies Night” is no longer gender
specific).
5 These 1956 bylaws contain no limitation on membership gender. The only reference to gender in these 1956 bylaws is the
requirement that the May meeting be “Ladies Night”. The 1903 “Constitution” limited membership to men, but this constitution
seems to have been abandoned after many of its provisions were later incorporated into the bylaws.

Section 4.
The June meeting shall be the Annual Meeting.

Article VI – OFFICERS

Section 1.
Officers shall consist of: a President; a Vice President; a Secretary and a
Treasurer.
Section 2.
The duties of officers shall be such duties as usually pertain to such offices and
such other duties as may be assigned to them by the Executive Committee.

ARTICLE VI – ELECTIONS AND QUORUM

Section 1.
Officers shall be elected at each Annual Meeting and shall continue in office until
their successors shall have been elected and shall enter upon their duties
immediately following election.
Section 2.
A quorum shall consist of fifty percent of the members.
Section 3.
Seventy-five percent of a quorum is necessary for approval at any meeting.

ARTICLE VII – DUES AND RESIGNATIONS

Section 1.
Each member shall pay to the Treasurer at or before the October meeting each
year annual dues of*$25.00. **Dues may be prorated to $15.00 for new
members joining after January 1st of the club season.
*Amended to $25.00 at the October 2022 general meeting and approved by the membership. **Approved by membership at the
April 11, 2023 meeting.

Section 2.
Dues paid shall include the cost of the dinner and such dues may be increased
or decreased on recommendation of the Executive Committee with the approval
of Membership.
Section 3.
Dues paid by new members may be prorated if elected during the year.
Section 4.
Resignations may be accepted by the Executive Committee.
ARTICLE VIII – PROCEDURES

Section 1.
The Order of Business shall be substantially as follows:
A – Invocation
B – Dinner
C – Roll Call
D – Reading of previous Minutes
E – Report of Committees
F – Old and New Business
G – Study and Discussion
H – Adjournment
Section 2.
The Executive Committee shall assign and each member in turn shall accept
responsibility for the study and discussion period at each meeting.

ARTICLE IX – COMMITTEES

Section 1.
Executive Committee. The Executive Committee shall consist of the officers.
Section 2.
Nominating Committee. The Nominating Committee shall be appointed in April
of each year by the Executive Committee and consist of the President and three
members of the club who are not officers. This Nominating Committee to be
empowered to present a slate of candidates at the next Annual Meeting of the
club.
Section 3.
The Executive Committee shall appoint such other committees as may from time
to time be deemed necessary.

ARTICLE X – AMENDMENTS

These Bylaws may be amended at any meeting of the club providing a quorum
is present and seventy-five percent of those present approve.
